Nonprofit governance issues often arise when an organization grows, leadership changes, major transactions are proposed, donor restrictions must be interpreted, or relationships among founders, directors, officers, and other stakeholders become more complex. Chase Counsel advises nonprofit organizations and fiduciaries on governing documents, board authority, decision-making procedures, conflicts, charitable assets, and the legal responsibilities that accompany stewardship of a tax-exempt organization.

30+ Years of Legal Experience
Good nonprofit governance is not procedural housekeeping. It is the legal framework for accountable decision-making.
Board authority, fiduciary responsibilities, oversight, decision-making procedures, delegation, and duties of directors and officers.
Articles, bylaws, board resolutions, committee structures, governance provisions, and amendments to organizational documents.
Conflicts of interest, related-party transactions, insider arrangements, disclosures, recusals, and board approval procedures.
Donor restrictions, charitable-use limitations, endowments, restricted funds, gift agreements, and stewardship of charitable property.
Governance issues involving founders, directors, officers, succession, authority, board composition, and institutional control.
Focused or comprehensive legal review of governing documents, board practices, fiduciary controls, policies, and organizational governance.
